Terms of Service

1. Agreement to These Terms

These Terms of Service form a binding agreement between you and The Kovo Company concerning your use of Open Thread, including the website (Openthread.cc), web application, CLI, API, integrations, AI-assisted features, and related services.

If you are using Open Thread for an organization, you represent that you have authority to bind that organization to these terms. If you do not agree to these terms, do not use Open Thread.

2. Eligibility and Accounts

• You must be legally able to enter into a binding agreement to use Open Thread.
• You must provide accurate account information and keep it current.
• You are responsible for maintaining the confidentiality of your login credentials, API keys, and connected third-party accounts.
• You are responsible for all activity that occurs under your account or within your workspace, except to the extent caused by our breach of these terms.

3. The Service

Open Thread is a collaboration, feedback, and task management platform. It allows users to collect feedback from multiple sources, manage tasks and projects, synchronize with third-party tools, generate tasks with AI, and use supporting CLI, API, billing, logging, and notification features.

We may modify, improve, suspend, or discontinue portions of Open Thread at any time. We do not guarantee that every feature will remain available indefinitely or that the service will be uninterrupted or error-free.

4. Workspace Administration

Workspace owners and admins control workspace settings, integrations, member permissions, billing choices, task configuration, invite flows, and API key generation. If you join a workspace created by another party, that workspace’s administrators may be able to access, modify, export, or remove data associated with your use of that workspace.

5. Acceptable Use

You agree not to:

• Use Open Thread for unlawful, fraudulent, deceptive, harmful, or infringing activity.
• Attempt to gain unauthorized access to Open Thread, another account, or any related system or network.
• Interfere with the integrity, security, or performance of the service.
• Store or process content you do not have rights to use.
• Use AI features or integrations in violation of third-party terms or applicable law.
• Reverse engineer or bypass limits or security protections unless legally permitted.

6. Customer Data and Your Responsibilities

You retain responsibility for the data, files, prompts, messages, and other content you or your workspace submit to Open Thread (“Customer Data”).

• You must have the rights to provide and process that data.
• You are responsible for reviewing AI-generated outputs before using them.
• You are responsible for configuring permissions, member access, and integrations correctly.
• Data synced from third-party tools may remain unless explicitly removed through supported features.

7. AI-Assisted Features

Open Thread may provide AI-assisted features such as task generation from prompts or imported feedback. These features may produce inaccurate or incomplete outputs.

You are responsible for reviewing any AI-generated output before relying on it. We may limit or disable AI features to protect the service or comply with provider requirements.

8. Third-Party Services and Integrations

Open Thread integrates with third-party services such as Discord, GitHub, Linear, X, and others. Your use of those services is governed by their own terms.

By enabling integrations, you authorize Open Thread to access and exchange relevant data to provide functionality. We are not responsible for issues caused by third-party services.

9. Fees, Billing, and Taxes

• Some features may require payment.
• You authorize us to charge your payment method for subscriptions and usage.
• Fees are generally non-refundable unless stated otherwise.
• You are responsible for applicable taxes.
• We may suspend access for failed payments or abuse.
• Pricing may change with reasonable notice.

10. Intellectual Property

Open Thread, including its software, branding, and design, is owned by The Kovo Company or its licensors and protected by law.

You are granted a limited, non-exclusive, non-transferable right to use Open Thread while complying with these terms.

11. Feedback

If you provide feedback or suggestions, you grant us a worldwide, royalty-free, perpetual license to use and incorporate it without restriction or compensation.

12. Suspension and Termination

We may suspend or terminate your access if you violate these terms, create risk, fail to pay fees, or if required by law.

You may stop using Open Thread at any time. Certain provisions (like payments, IP, and liability limits) will continue after termination.

13. Disclaimers

Open Thread is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, including accuracy, reliability, and uninterrupted service.

AI-generated outputs and third-party data may not always be accurate or suitable.

14. Limitation of Liability

To the maximum extent permitted by law, Open Thread and The Kovo Company are not liable for indirect or consequential damages, including loss of data, revenue, or business.

Our total liability will not exceed the greater of:

• The amount you paid in the last 12 months, or
• NZD $100

Nothing excludes liability where it cannot legally be excluded.

15. Indemnity

You agree to indemnify and hold harmless The Kovo Company and its affiliates from claims arising from your use of Open Thread, your data, or violations of these terms or law.

16. Governing Law and Disputes

These terms are governed by the laws of New Zealand. Any disputes will be handled by the courts of New Zealand, unless otherwise required by law.

17. Changes to These Terms

We may update these terms from time to time. Continued use of Open Thread after updates means you accept the revised terms.
